If you work in a private company
- Read your appointment letter and HR policy for clauses on "exclusive service", moonlighting, conflict of interest and intellectual property (IP).
- Clauses that stop you doing other work during employment are usually enforceable. A ban on competing after you leave is generally not enforceable in India, but notice period, confidentiality and non-solicitation duties still apply.
- Never use the employer's time, laptop, data, clients or code for your business.
- If your policy needs permission, ask HR in writing and keep the reply (a "no objection" email).
- Avoid businesses that compete with your employer or sell to its clients.
If you are a government employee
- Central government employees are covered by Rule 15 of the CCS (Conduct) Rules, 1964 (dopt.gov.in (CCS Conduct Rules)): you cannot engage in any trade or business, or take up other employment, without the government's previous sanction. State employees have similar state conduct rules.
- Being a director, partner or proprietor usually needs permission. Running it "in a family member's name" while you manage it is also a breach.
- Some things are generally allowed, such as normal investments and occasional literary or artistic work - check your own service rules.
- Breaking conduct rules can lead to disciplinary action, so ask your department in writing before you start.
If you are not working (student, homemaker, between jobs)
- You are free to start any legal business. Start with a proprietorship or LLP to keep costs low.
- Students under 18 cannot sign contracts or be directors; a parent can own the business until then.
- Your business income is taxable once your total income crosses the exemption limit - file a return anyway; it builds a record for loans.
For everyone: tax
Salary and business income are both shown in one income tax return on incometax.gov.in. You will usually need ITR-3 (or ITR-4 under the presumptive scheme) instead of ITR-1, and may need to pay advance tax. Hiding side income can lead to penalties.
Lesson learned
Private employees: check your contract and get written permission if needed. Government employees: get sanction first. Everyone: declare the income.
